Mergers & Acquisitions Associate, Senior Attorney, or Of Counsel

A prestigious law firm specializing in corporate law is seeking an experienced Mergers & Acquisitions Associate, Senior Attorney, or Of Counsel to join its New York office. The ideal candidate will have at least five years of experience in corporate law, specifically in Mergers & Acquisitions, and will work on a diverse range of corporate and alternative entity transactions. These include mergers, acquisitions, divestitures, restructurings, strategic partnerships, financing and complex lending transactions, cross-border deals, private equity investments, and legal research and analysis. This role will also involve general corporate work such as contract review, corporate governance, and rendering legal opinions.
Key Responsibilities:
- Support corporate and alternative entity transactions including mergers, acquisitions, restructuring, and strategic partnerships.
- Engage in private equity and cross-border transactions, as well as complex financing and lending arrangements.
- Conduct legal research and provide strategic advice on transactional matters.
- Review contracts and handle general corporate governance and legal opinion work.
Qualifications:
- JD degree from an ABA-accredited law school.
- Minimum of five years of experience in corporate law, with substantial exposure to M&A transactions.
- Prior experience in a large law firm’s business/corporate group is preferred.
- Admission to the New York bar or eligibility to become admitted in New York.
- Strong project management skills and the ability to manage multiple high-priority tasks in a fast-paced environment.
- Excellent written and verbal communication skills, with an ability to interact effectively with clients, business staff, executives, opposing counsel, and colleagues.
- Outstanding academic credentials.
Compensation and Benefits:
For applicants in New York, the salary range for this position is $225,000 - $375,000, based on experience. The role offers the option to select a reduced billable hours track with a proportional salary reduction. Associates are eligible for a performance-based bonus.
