Job Purpose: To lead, coordinate and guide all activities related to Merger and Acquisition (M&A) projects, such as private or public acquisitions, mergers, joint ventures, corporate alliances, and divestitures of existing Caterpillar business units. Provide leadership, oversight, counsel and other services to Group Presidents, Business Unit Senior Vice Presidents, General Managers and Segment and Division CFOs throughout the M&A process and will manage most aspects of the project including: legal entity and deal structuring, negotiations, financial analysis, due diligence, communication with target companies, external advisors, Public Affairs, and the Caterpillar Executive Office. Job Duties: During the process, the position will obtain and oversee the work of outside advisors including investment bankers and accounting firms and will work closely with our internal and external legal counsel. Key results will be measured by improved shareholder value (measured by NPV) and successful coordination with the team integrating new acquisitions. In line with Caterpillar’s M&A process, the M&A Director will perform the following job functions: Strategic Analysis: Work with Legal and the various Business Units to provide counsel as the strategic requirements are being developed. This oversight could include the development of alternatives, profiling of potential targets and obtaining Executive Office approval to proceed to the definition of the Opportunity Analysis. Opportunity Analysis: Selecting the deal team (a cross-functional group that typically includes a representative from the Business Unit, Legal and M&A). Once formed, the Team will make contact with targets and perform preliminary analysis (valuation, risk assessment and characterization of implementation issues), ultimately resulting in a preliminary business proposal and Executive Office approval to proceed. Transaction Development: In this phase, the M&A Director will be involved in structuring and negotiating the letter of intent with the target. Once signed, the M&A Director will assist legal, financial, accounting, tax, environmental and other external specialists in performing due diligence. This initiative will lead to better understanding of the underlying economics and implementation issues. Negotiation and Execution: Coordinate negotiation of the definitive agreements, finalize the business proposal and implementation plans and obtain Executive Office and Board of Directors approval for the Business Unit to proceed to closing the transaction. During this phase, the M&A Director will be involved as both a participant and advisor. Optimization: In this ‘post-implementation’ phase, the M&A Director will assist in regular assessments of the financial and implementation results as compared with the final business proposal. Background/Experience: This position requires a strong background in financial analysis, transaction structuring, strategic planning and accounting. Knowledge of Caterpillar’s industries and its products is also desired. Strong business acumen and analytical, technical and project management skills are required for the coordination of large M&A projects. The position requires 10 or more years of progressively responsible job-related experience. Excellent interpersonal skills are required in order to deal with sensitive issues and to communicate with internal and external senior management. Additional Skills: The typical candidates would include employees that have had significant M&A and/or corporate development experience either at Caterpillar or other companies, managers or partners from the transaction services divisions of public accounting firms, senior investment bankers, and M&A attorneys from external law firms.
