Job Description: Rakuten Rewards is seeking a talented corporate counsel to join our legal team in our San Mateo office. In this role, you will serve as the frontline attorney for the ShopStyle and ShopStyle Collective business units. We are looking for someone who is passionate about working within a fast-paced, collaborative environment, and ready to pitch in and help take our business to new heights. This is an in-office position located in San Mateo, California. Key Responsibilities Review, negotiate, and draft a broad range of legal agreements, including influencer campaign agreements, agency agreements, content licensing agreements, insertion orders, SaaS agreements, technology licenses, ad-tech agreements, data processing agreements, other service agreements, and revenue sharing/partnership agreements. Partner with product, engineering, and marketing teams to provide legal advice and guidance for product releases, product design, mobile app development, advertising, email marketing, promotional campaigns, marketing assets, and UI/UX flows. Draft and maintain terms and conditions and privacy policies relating to ShopStyle and ShopStyle Collective products and services. Advise business on content licensing issues, trademark usage, rights of publicity, content rights management, syndication of influencer content within first and third party platforms (such as YouTube, Instagram, and Facebook), FTC disclosures for sponsorship and paid advertisement and other applicable legal and regulatory requirements. Draft and review rules and copy related to contests, sweepstakes, and other promotions. Advise on risk mitigation procedures in response to pre-litigation disputes and inquiries. Stay apprised of developments in legal and regulatory developments affecting ShopStyle and ShopStyle Collective businesses. Support corporate governance and compliance projects and initiatives. Distill legal principles and compliance requirements into practical business advice and solutions. Educate business and legal team members by continuously improving standard form agreements, playbooks, guidelines, and legal processes. Other duties as assigned by the Director, Associate General Counsel. J.D. and admitted to the bar and in good standing to practice law in California 4 years of relevant experience (may be combined in-house/law firm experience, but at least 2 years in-house) Strong communications skills, both written and verbal Excellent business and legal judgement Generalist with working knowledge with intellectual property law, marketing law, privacy law, and consumer protection laws in the global eCommerce context Familiarity with US, UK, Australian, and Canadian regulatory environments Ability to work independently and collaborate with cross-functional teams and work in a fast-paced environment Experience in influencer marketing, retail, digital advertising, content creation, performance marketing, privacy, and/or eCommerce is a plus ABOUT SHOPSTYLE ShopStyle is a style curation app that gathers fresh, just-for-you recommendations from over 20,000 brands across the shopping universe. At the time of posting, Rakuten expects the base salary for this role will be between $150,876 - $190,000. Individual compensation will vary based on job-related factors, including the skills, qualifications, and experience of the successful candidate as well as business need and geographic location.
