Job Summary:

The Corporate Counsel is responsible for leading corporate strategic and tactical legal initiatives. They provide senior management with effective legal and related advice on company strategies and their implementation, manages the legal function, and obtains and oversees the work of outside counsel. The Corporate Counsel is directly involved in complex business transactions and negotiating enterprise-wide contracts.

Essential Duties and Responsibilities:

• Performs as counselor to executive management in legal and other business matters.
• Serves as a primary legal advisor on all major business transactions, including acquisitions and mergers.
• Participates in business due diligence for acquisitions including NDA review, legal analysis and diligence, IOI and LOI proposal, all document development, new entity structure and establishment of same, and negotiations (e.g. purchase, employment, business protection, transition services and real estate agreements)
• Participates in the definition and development of corporate policies and procedures.
• Provides continuing counsel and guidance on legal matters and on legal implications of all matters across all entities.
• Manages government and court cases filed against or on behalf of the company. Works with the appropriate executives and insurance carriers to define a strategic defense and approves settlements of disputes where warranted.
• Supports the company on a wide variety of legal matters including contracts, employment agreements, litigation or potential litigation, leases, environmental exposure etc.
• Oversees the selection, retention, management, and evaluation of all outside counsel in cooperation with the executive team.
• Organizes all contracts within the organization. Ensures consistency, manages risk, and monitors deadlines as appropriate.

Qualifications/Skills:

• Law degree from an ABA-accredited law school
• Member in Good Standing in any state Bar
• Minimum of six years’ experience as a practicing attorney, preferably both in a law firm and in-house
• Experience working on matters of corporate governance
• Experience managing outside legal counsel in a cost-efficient manner
• Significant experience in acquisitions, mergers, and divestitures
• Experience reviewing enterprise-wide contracts of any kind
• Experience in labor and employment law
• Experience in environmental law
• Highly developed verbal and written communication skills
• Strong negotiation and persuasion skills inside and outside the organization
• Strong technical legal knowledge and experience
• Solid judgment and demonstrated ability to provide sound legal advice and counsel in view of conflicting or unclear regulatory information
• Highest degree of ethics, honesty and conviction
• Highly proficient computer skills including Microsoft Office 365

Job Type: Full-time

Pay: $130,000.00 - $160,000.00 per year
