How This Role impacts Live Oak and its People The Corporate Counsel position is responsible for legal guidance on labor and employment matters, a broad range of corporate governance tasks, and assisting in the negotiation and execution of vendor and other third-party contracts. This is an exciting opportunity to be a part of an evolving company and growing Legal team. What You’ll Do at Live Oak Partner with the Talent Team to provide legal guidance on various labor and employment matters, including, but not limited to, recruiting, hiring, manager/employee performance management, accommodations, various state-law compliance matters, and other employment-related items; Maintain up-to-date knowledge of relevant federal, state, and local employment laws and regulations. Advise and oversee employment investigations and escalate appropriately; Serve as first line of advice on full range of employment law issues, including hiring, discipline, termination, compensation, benefits, discrimination, and wage and hour matters, and escalate appropriately; Provide support to maintain, determine, and/or remediate legal compliance issues impacting Live Oak’s operations from an overall employment law, compensation and benefits perspective; Assist with the creation, organization, and maintenance of essential corporate governance items for Live Oak Bancshares, Inc. and its subsidiaries, including state authorizations and licensing, board proceedings, shareholder meetings, organizational documents, and other related matters; Support enhancement of Live Oak’s policies and procedures program, including management of updates, storage, and version control; and Partner with a range of Live Oak team members to prepare, analyze, and review a variety of contracts with vendors and other third parties including, but not limited to, sales, services, supply, IT, consulting, license, purchase, NDAs, and other agreements. How You’ll Do It Develop knowledge of Live Oak’s business activities, as well as an awareness of applicable laws, regulations, and judicial developments; Leverage understanding of business priorities, legal terms, regulatory environment, and/or changes in the market to navigate employment matters and corporate governance tasks and to negotiate and ensure appropriate vendor and other third party contracting; Actively identify and influence opportunities to reduce risk with employment matters, corporate governance tasks, and within the vendor portfolio; Draft and maintain governance documents such as resolutions, written consents, presentations, and other materials for our Board of Directors and Committees; Maintain corporate records in order to comply with various state authorizations and licensing; Support responses to regulatory, audit, and other requests relating to corporate governance, employment matters, and contracting; Provide critical and ongoing support and input to Associate General Counsel regarding process improvement, particularly in areas of employment, governance, and contracting; and Assist as needed on various other projects and legal matters, e.g., securities filings. Required and Preferred Experience Minimum of a JD and a Bachelor’s degree; At least 3 years’ experience in a law firm or in-house legal department, preferably with employment law experience; Experience negotiating vendor and other corporate contracts, including licensing and other technology agreements, preferred; Experience drafting and managing governance documents such as board minutes and proceedings, charter documents, and related matters; and Cross-organizational influence and communication is critical for success in this role.
