Legal Affairs Associate
The Legal Affairs Associate will join the Real Estate Legal team and will be tasked with a range of responsibilities aimed at facilitating efficient legal operations within the company. Key duties include:
Overview:
- Collaborating with both the internal legal team and external legal advisors to address a comprehensive array of legal issues pertinent to the holding company, its investment advisers, affiliated funds, and portfolio companies.
- Managing entity affairs which encompass the formation, dissolution, name changes, and updates to structure charts.
- Ensuring the upkeep of legal and corporate records in accordance with regulatory requirements.
- Supporting the Know Your Customer (KYC) process which includes completing necessary forms, preparing structure charts, collecting documents, arranging notarization, and addressing follow-up inquiries from external counterparties.
- Coordinating with outside counsel on the organization of signature pages, deal transaction documentation, and the compilation of closing binders.
- Engaging in the tracking, drafting, and submission of SEC filings and other required regulatory securities documents as necessary.
- Reviewing and processing Non-Disclosure Agreements (NDAs) and a variety of contracts.
- Facilitating the organization and review of quarterly and annual audits with partners to ensure ongoing compliance.
- Performing any additional duties as requested that may not be explicitly outlined above.
Qualifications:
- A Bachelor’s degree reflecting a strong academic foundation is required.
- A Paralegal Certificate is advantageous, but not mandatory.
- At least two years of related business or legal experience is necessary; experience in a major law firm, corporate environment, or in-house at an investment firm will be considered a plus.
- Exceptional interpersonal skills are essential for effectively engaging with key partners from external law firms as well as colleagues at all levels within the organization.
- Strong project management and organizational capabilities are required; candidates must demonstrate the ability to prioritize multiple projects, maintain high attention to detail, and work effectively under tight deadlines, exhibiting a solid sense of ownership and commitment to follow-through.
- The ideal candidate will be a self-starter, showcasing initiative and confidence in making timely decisions on urgent matters.
