St. Louis (Clayton-based) law firm seeks a Senior Associate with 6-10 years of experience for our firm’s Business & Real Estate Transactions Practice Group.
The work will be broad in scope and knowledge but relevant experience is required in the following areas:
· Mergers and acquisitions, divestitures, commercial transactions, operating agreements, corporate governance/structure, equity investments, and partnership issues.
· General corporate law, as well as transaction and entity structuring and related tax matters.
· Pre-transaction planning, due diligence, deal and information management, preparation and negotiation of purchase agreements, operating agreements, and other transaction agreements, closings, post-closing matters, and business integration.
· Merger and acquisition due diligence for both targets and acquirers, transaction and entity structuring, and related tax matters.
The candidate will be required to implement strong project management and team-building skills to better ensure meeting clients’ objectives in a timely and cost-effective manner.
Excellent analytical, written, verbal, interpersonal skills, and emotional intelligence are a must. Direct and frequent communication with clients, clients’ advisors, and opposing counsel from the time of initial contact to matter conclusion is expected.
A portable book of business is a plus but is not required.
