Role Summary
We are hiring a Managing Legal Counsel to be a member of the Commercial Contracts team, a global team whose other members are based in London, Singapore, and the U.S. This lawyer will work from the legal department in T. Rowe Price’s Owings Mills, MD offices with other lawyers from the Commercial Contracts team and where other lawyers provide a range of legal services to T. Rowe Price.
This position will report to Managing Legal Counsel on the Corporate Organization, Strategic Transactions and Commercial Contracts team. The position provides counsel and advice on outsourcing, technology, investment operations, and other supplier transactions for goods and services across the enterprise and for strategic corporate initiatives, as further set forth below. It requires knowledge of general contract principles, and foundational understanding of applicable laws and regulations across relevant jurisdictions that impact these transactions, as well as familiarity with commercial and market standards relevant to subject matter of the contract.
Responsibilities
- Provide advice and counsel on structuring, development, and implementation of commercial transactions, including technology transactions, cloud computing and software services, investment operations services, outsourcing and offshoring services, consulting services, other professional services, and more.
- Collaborate with T. Rowe Price business team associates from all areas of the firm with a range of seniority, subject matter experts, risk associates, and leadership as necessary.
- Take responsibility for preparing bespoke templates and reviewing, drafting, and negotiating standard and customized supplier contracts, from RFX to termination, including all related documents, for goods and services.
- Understand and ensure adherence to internal policies and procedures, client contractual commitments, and regulatory requirements within contract documents to continuously ensure that contract structure, drafting, negotiation, and execution comply with such policies and commitments.
- Adeptly and proactively identify and escalate issues and provide risk-based recommendations and advice within strategic business conversations.
- Analyze and remediate legacy legal documents for conformance with developments in applicable laws and regulations and current internal policies and procedures.
- Take responsibility for providing legal advice and counsel to relevant business units, exercising judgment on commercial priorities, including on drafting and negotiation of new agreements, issues arising from existing contracts, and compliance with contract terms, termination or renewal.
- Draft termination letters and advise and assist with negotiations to resolve contract disputes with third parties.
- Lead efforts to provide training to procurement and business team colleagues on use of templates and updates in legal and regulatory matters.
- Assist in the development of policies, processes, and procedures to govern the supplier contract lifecycle, and compliance, and risk management.
- Provide work guidance and mentoring to less experienced attorneys or other legal department colleagues.

170,000.00 - $291,000.00 for the location of : Maryland, Colorado, Washington and remote workers
187,000.00 - $320,000.00 for the location of : Washington, D.C.
213,000.00 - $350,000.00 for the location of : New York, California
Placement within the range provided above is based on the individual’s relevant experience and skills for the role. Base salary is only one component of our total compensation package. Employees may be eligible for a discretionary bonus, which is determined upon company and individual performance.
