CareerFinders, on behalf of our client, a CySEC Regulated Investment Firm with expanding operations in Cyprus, we are seeking to recruit a Non-Executive Director to join their growing team based in Cyprus. The Non-Executive Director will play a key role in the oversight, governance, and strategic direction of the Company. As a board member of a CySEC-regulated entity, you will be expected to act with independence, integrity, and a clear understanding of regulatory obligations to ensure the firm's compliance, risk management, and long-term sustainability. Our client is seeking applicants who possess at least 5 years of relevant professional experience within Financial Services, preferably with board-level exposure. Prior experience in a regulated environment under CySEC, FCA, or another European supervisory authority is highly desirable, along with a demonstrated understanding of MiFID II, AML regulations, and corporate governance principles. Key Duties/Responsibilities:
- Provide independent judgment and oversight on the company’s strategy, performance, risk management, and regulatory compliance.
- Ensure effective internal controls and systems are in place to comply with CySEC and European regulatory frameworks (MiFID II, AML directives, etc.).
- Sign off on key regulatory filings, internal audit findings, and governance documents where applicable.
- Approve and oversee the implementation of key policies (e.g., AML, conflict of interest, risk management).
- Participate in board and committee meetings, offering objective input on business decisions, financial practices, and corporate governance matters.
- Monitor the performance of executive management, holding them accountable to stakeholders and regulatory standards.
- Review and challenge, when necessary, business proposals, financial statements, and compliance policies.
- Contribute to board decisions on key matters such as new business initiatives, market risks, and capital adequacy.
- Maintain current knowledge of relevant laws, regulations, and best practices in the financial services sector.
- Represent the interests of shareholders and contribute to the company’s reputation and ethical conduct.
Key Skills/Experience:
- University degree in Law, Finance, Economics, Business, or a related field (Master’s degree or professional qualification preferred).
- Minimum of 5–10 years’ experience in financial services, preferably with board-level exposure.
- Prior experience in a regulated environment under CySEC, FCA, or another European supervisory authority is strongly preferred.
- Demonstrated understanding of MiFID II, AML regulations, and corporate governance principles.
- Strong analytical, communication, and decision-making skills.
- Proven independence and impartiality in prior roles.
- Fluency in English.
