ADI is seeking an experienced lawyer to serve as our first in-house lawyer to be based in Shanghai, China.  This role will report directly to the Regional General Counsel based in Ireland and will work very closely with our lead regional lawyer based in Singapore, and our senior compliance lawyer based in the Philippines. The successful candidate will act as the Legal and Risk Oversight (“LRO”) organization’s business partner to ADI’s China local business leaders, as well as advising on all regulatory compliance matters impacting our China business.   The Senior Counsel, China, will join a cross-functional and regional team of in-house lawyers, paralegals and other legal and risk specialists and support staff on all matters impacting ADI’s business throughout the region. 

PRIMARY DUTIES AND RESPONSIBILITIES

The ideal candidate will gain an in-depth understanding of ADI’s business, its risks and opportunities, and be capable of advising the company and its senior leadership regarding the same on a regular basis.  The ideal candidate will also have the depth and breadth of skills and experience needed to have primary responsibility over the following matters:

• Serve as key business partner to the business to identify and mitigate legal risks and provide legal and regulatory advice on a broad range of issues affecting ADI’s business including corporate transactions, finance and tax transactions, entity maintenance matters, commercial and procurement support, employment matters, compliance with policies, among others
• Serve as an accountable, primary LRO business partner to our China leadership, providing actionable advice that can be swiftly incorporated into risk-based, strategic decisions
• Provide timely and accurate interpretations of the various laws and regulations affecting the company’s business in China to senior leadership and operating personnel; keeping them apprised of the types of actions that require consideration and providing internal guidance regarding potential legal and risk issues
• Assist with any investigations impacting our China offices or China entities, in coordination with our compliance team and Chief Compliance Officer based in the US
• Keep members of the LRO leadership team apprised of in-region activities, as well as ongoing and emerging legal, regulatory and risk topics
• Perform special projects and support continuous improvement of LRO department standard work, knowledge management, and processes
• Craft and review legal strategy in response to any litigation, in partnership with ADI’s Litigation lead and appropriate ADI subject area experts
• Manage and assist internal clients with resolving legal and risk issues in a manner consistent with enterprise business philosophy, values and strategy, and in compliance with legal and regulatory requirements
• Provide in-China support related to the protection of ADI’s intellectual property, including support for local patent, copyright and other intellectual property matters as directed by the worldwide IP team
• Work closely and collaboratively with a cross-functional team of business unit lawyers, paralegals and other legal and risk professionals and support staff in region, and globally
• Supervise and manage external legal counsel supporting legal projects, as needed

 QUALIFICATIONS

• Qualified lawyer in China, with a law degree from a reputable university.  US, UK or other Western legal qualification and experience is beneficial
• Minimum 7 years PQE from a “top tier” international law firm, and/or an in-house position at a multinational company or a global enterprise
• Ability to develop and maintain collaborative relationships with peers and colleagues across the organization, as well as with internal and external clients
• Experience working in a face-paced international environment, with a history of advising in real-time in meetings, including to business leaders, providing accurate guidance and pragmatic solutions
• Strong analytical, prioritizing, interpersonal, problem-solving, presentation, budgeting, project management (from conception to completion) and planning skills
• Fluency in both Mandarin and English required
• Strong verbal and written communication skills (including analysis, interpretation, and reasoning)
• Ability to travel, as needed, both inside China and internationally
• Shanghai-based candidates preferred. International relocation may be offered for this position on a case-by-case basis.
