Position : Associate General Counsel / General Counsel of 25m StudiosLocation : New York, NY (hybrid in-office)25madison is seeking an experienced corporate and startup attorney to join its team. Position will be based at our offices in Union Square, with flexibility to work remotely.About Us : 25madison is an early-stage venture firm that both incubates and invests in startups. We partner with an exclusive network of corporate partners to give our startups unfair product and distribution advantages.About this Role : Your role will be to manage all legal matters for 25madison Studios and its family of incubations and portfolio companies. You will work closely with our incubation development team and portfolio CEOs on corporate organizational matters, early-stage labor and employment matters, venture financings, design partnerships, and other commercial agreements and strategic partnerships. This is an ideal role for someone seeking exposure to a broad range of startup issues and an opportunity to advise CEO-level executives on critical legal matters. This role will also have the opportunity to advise on fund formation, governance, and investment matters based on interest and capacity. We are looking for someone who is motivated to develop into the role of General Counsel of 25madison Studios and grow with us as we and our portfolio companies scale.Key Responsibilities : Advise portfolio companies on formation and organizational matters, corporate governance, early-stage labor & employment matters, product development, venture financings, regulatory considerations and commercial partnershipsAdvise on structuring, negotiation and execution of venture financing transactions and other investment transactionsReview and negotiate commercial contracts, including vendor agreements, design partnership agreements, SaaS agreements, engagement letters, and NDAsAssist in the implementation of processes to scale with the growth of the company and its affiliatesDemonstrated ability to work effectively with the highest level of senior management and collaboratively with other corporate functions, including Finance and HRProblem solver with common sense judgment and ability to assess risk, prioritize and get things doneStrong track record of working with a wide range of commercial agreements, without significant supervisionExceptional communication skills and ability to explain complex ideas in a succinct and impactful mannerSelf-starter with ability to operate autonomously while being a team player who brings a positive attitude to the workplaceJ.D. from accredited law schoolMinimum Requirements : Strong academic record and bar admission in New YorkPracticing for a minimum of 6-8 years, ideally with a mix of law firm (corporate) and in-house startup experienceExperience forming and counseling early-stage companies and advising on general startup-related questions and activitiesExperience advising on venture financing transactions, cap tables, corporate governance and early-stage executive compensationStrong commercial contract drafting, negotiating, and issue-spotting skillsExperience with healthtech regulatory matters a plusConnectivity to and / or experience advising PE firms a plusWhat We Offer : An intellectually stimulating, hard-working culture where your contributions are visible and valuedExtensive senior-level exposure and the opportunity to build a wide network in the VC and startup ecosystemA competitive salary and benefits packageOpportunities for personal and professional growthHow to Apply : Interested candidates should submit a resume and a cover letter highlighting relevant experience and qualifications.Equal Opportunity Employer At 25madison, we aim to foster a workplace free from discrimination.
