Overall Responsibility:
A&D Mortgage is seeking a highly organized and detail-oriented Corporate Law Paralegal to support our Legal team. This role will involve working on various corporate legal matters, including contract review, compliance, and governance. The ideal candidate will have experience in corporate law, strong organizational skills, and the ability to manage multiple tasks in a fast-paced environment.
Key Responsibilities:
- Assist with the preparation, review, and execution of corporate documents, including contracts, non-disclosure agreements, and licensing agreements.
- Conduct legal research and compile data for attorneys to review.
- Maintain corporate records, including minutes, resolutions, and other governance documents.
- Assist in managing compliance-related documentation and ensure adherence to corporate policies.
- Coordinate with outside counsel and internal departments such as Compliance, Finance, and IT.
- Draft and review correspondence, agreements, and other legal documents.
- Assist with corporate transactions, including mergers and acquisitions, corporate structuring, and due diligence.
- Support the General Counsel in administrative tasks, including scheduling, file management, and recordkeeping.
- Bachelors degree or Paralegal Certificate from an accredited institution.
- Minimum 3-5 years of experience as a corporate paralegal, preferably in a legal department or law firm.
- Experience with corporate governance and compliance processes.
- Strong research and writing skills.
- Proficiency in Microsoft Office Suite, particularly Word, Excel, and PowerPoint.
- Ability to manage multiple priorities and work independently in a fast-paced environment.
- Excellent communication skills, both verbal and written.
Preferred Qualifications:
- Experience in the mortgage or financial services industry.
- Familiarity with licensing agreements and data security compliance.
- Experience working with cross-functional teams, including Legal, Compliance, IT, and Finance departments.
