Summary
This role requires a weekly on-site presence at our Galleria Office based in Atlanta, GA.
This position is responsible for providing advice and counseling to the Company on all transactional matters, including strategic transactions, vendor contracts, company-related financing, and real estate matters. The position reports to the Deputy General Counsel and supervises one or more attorneys and staff. The position collaborates closely with stakeholders across the Company, including the General Counsel and executive management. The position is based in Atlanta and may require some travel.
Duties and Responsibilities:
- Negotiate and draft key vendor and service agreements
- Oversee and manage all manner of vendor contracts and commercial agreements, including technology contracts, facilities management, strategic vendors and consultants, supplier agreements
- Advise the Company on compliance with various debt financing arrangements
- Provide legal support for M&A activities, including due diligence, drafting, negotiating, and executing transaction documents for a variety of strategic transactions
- Provide legal support for franchise program documents, including franchise agreements and the annual Franchise Disclosure Document
- Develop and maintain contract review management process
- Management and supervision of outside counsel
- Supervise subject matter experts, including real estate attorney and support staff
Education and Experience:
- 8 years of prior experience, including at least 5 prior years of in-house counsel (or similar experience thereto)
- At least 5 years of prior experience in the subject matter specialty for the position preferred
- Must be licensed attorney who graduated from an ABA accredited law school
- Member of Georgia Bar strongly preferred
- Experience drafting, editing, reviewing, and negotiating contracts
