Job Description
The Corporate Attorney will serve as a key member of our legal team, reporting to the General Counsel. This position requires an experienced attorney who combines an incisive legal mind with excellent judgment, emotional intelligence, keen business acumen and the highest ethical standards. Flexible work location requires minimum 2 days per week at our corporate offices at One Penn Plaza in New York City
Job Duties / Responsibilities
Corporate finance (strategies, credit/bond agreements/facilities, private credit).Treasury matters, including swaps/derivatives, cross border transactions, performance letters of credit Mergers & acquisitions, including bid processes, diligence, purchase documentation, post-closing integration. General corporate, including insurance; Board/shareholder meetings; interface with operating subsidiaries and in-house counsel. Employee stock purchase / repurchase programs, benefits, and related plans and documents. Formulating corporate policies, procedures, codes of conduct and other similar documents. Provide oversight of operating companies’ legal and compliance matters to ensure they are effective. Assist with maintaining corporate files, reports, and maintaining legal entities, required permits / licenses. Assist with managing litigation and contract disputes at the parent level and render assistance, as required, to the subsidiaries. Keep informed of new laws and legal developments as they occur and analyze their applicability to the company’s activities and objectives. Interface with other administrative support functions, including Finance & Accounting, and external advisors, including auditors, as needed.
Experience / Qualifications
5 years of experience as a practicing attorney. Experience with issues in Engineering and Construction (“E&C”) is preferred along with a detailed understanding of the legal factors influencing the industry. Knowledge and understanding of the E&C sector specifically as it relates to litigation and claims, risk management, contract administration, legal support and other legal considerations. Positive team player and collaborator with demonstrable emotional maturity. Strong legal and business risk identification, assessment and mitigation skills. Business acumen and ongoing commitment to a mindset that gets business done. Understanding of corporate governance and a solid grasp of how corporate legal functions interface with Tax, Human Resources, Finance, and other functions. Excellent communication skills, with the ability to translate complex issues into understandable (to laypersons) and executable advice. Proven track record as a trusted advisor and confidant with exceptional judgment. Professional demeanor, credibility and reliability. Proactive and responsive, willing and able to assist with new challenges. Efficient, with a propensity for action and a strong sense of ownership and personal integrity. Ability to prioritize and make difficult decisions quickly. Team player and leader who cultivates talent and encourages excellence. Strong leadership and interpersonal skills with the ability to collaborate with others. Commitment to the highest ethical and professional standards; personal and professional integrity beyond reproach; unquestioned discretion in maintaining confidentiality. Excellent written and oral communications skills in public and private settings; ability to translate complex legal issues for a layperson audience.
Compensation
Base Salary: $200,000 - $250,000 per annum, depending on experience. Eligible to participate in our annual incentive bonus program including cash and equity.
