We are seeking an experienced Corporate Counsel to join our legal team at C.H. Guenther & Son, a global food manufacturing company headquartered in Texas. The ideal candidate will have extensive experience in contract drafting and review and will be responsible for overseeing a broad range of legal matters to ensure the company’s operations comply with all applicable laws and regulations. The Corporate Counsel will also provide legal guidance in areas such as risk management, commercial transactions, intellectual property, and regulatory compliance within the food industry.

Contract Drafting and Review:
- Draft, review, negotiate, and manage a variety of contracts, including supply agreements, distribution agreements, vendor contracts, manufacturing agreements, confidentiality agreements, and purchase agreements.
- Responsible for implementing and maintaining records management policies and processes across the organization.
- Provide proactive legal advice on risk management, intellectual property protection, and business operations to safeguard the company’s interests.
- Provide legal support for various departments, including HR, operations, and marketing, with a focus on food industry legal matters.
- Conduct internal training and create educational resources for company employees on legal topics, including contract management and compliance.
Minimum Job Requirements
Education/Certifications and Experience:
- Juris Doctor (JD) degree from an accredited law school.
- Licensed to practice law in Texas.
- A minimum of 5-8 years of relevant experience in a law firm or corporate law department, with a focus on contract drafting, review, and negotiation, ideally within the food manufacturing industry or related sectors.
- Background in records management and contract management.
- Familiarity with risk management strategies and corporate governance.
- Proficient use of a computer, Microsoft Office (Word, Excel, PowerPoint, OneNote), and other related applications or software.
- Strong analytical, problem-solving, and decision-making skills.
- Excellent written and verbal communication skills, with the ability to explain complex legal concepts clearly and concisely.
- Ability to prioritize and manage multiple projects simultaneously in a fast-paced environment.
