To fuel our growth, we are looking to supplement our team with a new opportunity for an Associate I, Entity Management, who strives to deliver strong customer service (to both internal and external clients) while maximizing efficiencies to meet the company’s goals and objectives. This position will assist the Entity Management team in providing customer service support of varying complexities that requires the use of good judgment, analytical reasoning, robust interpersonal communication, and sound problem-solving skills.
Responsibilities:

- Assist with the preparation of pre-closing or post-closing documentation in connection with both significant corporate transactions and day-to-day operations.
- Assist with basic due diligence research.
- Assist with corporate transactional work and responsibilities (including paperwork from mergers and acquisitions, joint ventures, financing and strategic investments).
- Assist in the preparation of corporate documents (including, assumed name filings and qualifications) to allow the organization to work in multiple jurisdictions in full compliance.
- Assist with tracking, auditing, organizing, proofreading, filing and distributing documents related to corporate activity.
- Assist with corporate subsidiary maintenance duties associated with maintaining regulatory registrations, qualifications, and reports.
- Assist with responses to and inquiries from company stakeholders throughout all areas of the business (operations, treasury, marketing, capital markets, technology, legal, etc.) regarding entity structure and operating names while ensuring timely services.
Requirements:

- Must have strong business ethics, including the ability to appropriately handle confidential information.
- Must be a high-level user of Microsoft Office software (Outlook, Excel, Word, PowerPoint).

- Must have the ability to contribute to a collaborative environment by consistently demonstrating teamwork, high motivation, positive behavior and effort to achieve goals and objectives.

- Must maintain a sense of urgency and ability to work with and meet deadlines.
- Must possess the ability to multi-task, prioritize, work independently, and use discretion surrounding sensitive information.
- Must possess strong time management skills.
- Must be comfortable working without constant supervision and be willing to solve problems on own initiative.
Education/Experience:
- At least one year of professional legal assistant/corporate paralegal (or equivalent) matters in a large entity is required (multinational preferred, but not required);
- Familiarity with corporate governance: formation documentation, corporate resolutions/consents, general corporate housekeeping, data base entry, and knowledge of organizational structures is helpful;
- Bachelor’s degree or the recognized equivalent in education and experience is required (Paralegal Certification or education is highly desired);
- Experience in the insurance industry or a law firm/in-house corporate legal department with comparable exposure is highly desired;
- Ability to multi-task in a fast-paced environment that encourages an entrepreneurial spirit and outside-the-box thinking is required; and
- Experience working with multiple stakeholders from different organizations, departments, and cultures.
