Description

The Chief Compliance Officer (the “CCO”) will report on compliance matters to the Chief Legal Officer, the CEO, the Audit Committee of the Board of Directors and closely partner with the Chief Quality and Regulatory Officer on a regular basis, and in each case will report more frequently as appropriate or as directed or requested.

Working with the Chief Legal Officer, the position ensures the Company, including its Board of Directors, management, employees and business partners, complies with applicable laws, regulations and industry standards and that behavior in the organization fulfills the Company’s commitment to Uncompromising Integrity and its Standards of Business Conduct.

Key Responsibilities

Monitors and reports results of the compliance / ethics efforts of the Company and provides guidance to the Board and senior management team on matters relating to compliance. The CCO is also responsible advise on potential actions to ensure achievement of the objectives of an effective compliance program.

Oversees global corporate compliance, including data privacy. Also is a critical partner for healthcare compliance, working with our Chief Quality and Regulatory Officer, the Chief Medical Officer and others in sponsoring the heath care compliance committee. The primary responsibilities fall into 1) Compliance Risk Assessment and Response Management, 2) Training and Education, and 3) Team Management.

Responsible for developing, maintaining and updating a system for overseeing compliance within the Company. This includes tracking of issues, risk assessment and response management. In addition, establishing metrics and reporting progress against metrics to appropriate management teams and Board of Directors.

Directs periodic assessment of compliance by businesses and functions, including without limitation with respect to healthcare compliance, regulatory compliance, global transparency reporting, data privacy, employment-related issues, global trade and anti-corruption, including the Foreign Corrupt Practices Act.

Collaborates with the businesses, attorneys in the Legal Department and other functions (, Risk Management, Internal Audit, Operations, Finance and HR) to establish robust compliance processes and procedures.

Leads, manages and develops an effective team of 5 compliance professionals, including responsibility for managing administration of Navex EthicsPoint.

Acts as an independent reviewer and evaluator to ensure that compliance risks and concerns within the Company are being appropriately evaluated, investigated and resolved.

Monitors, and as necessary, coordinates compliance activities of other departments to remain informed of the status of all compliance activities and to identify trends.

Identifies potential areas of compliance vulnerability and risk, develops / implements corrective action plans for resolution of problematic issues, and provides general guidance on how to avoid or deal with similar situations in the future.

Ensures proper reporting of violations or potential violations to duly authorized enforcement agencies as appropriate and / or required.

Develops, initiates, maintains and revises policies and procedures for the general operation of compliance program and its related activities to prevent illegal, unethical or improper conduct.

Work closely with the Head of the Internal Audit.

Work closely with Human Resources, Global Quality and Regulatory, Internal Audit, the Legal Department, Global Trade Compliance, and the Global Investigations Team on ensuring best practices with regards to the conduct of investigations.

Institutes and maintains an effective compliance training and education program for the Company, including promoting (a) heightened awareness of the applicable laws and regulations referred to in the Standards of Business Conduct, and (b) understanding of new and existing compliance issues and related policies and procedures.

Responsible for working with other functions as appropriate to develop an effective compliance training program, including appropriate introductory training for new employees, as well as ongoing training for all employees and managers.

Qualifications

JD, admission to the California bar or another state bar.

12 years of compliance experience, including demonstrated leadership and business management experience.

5 years of experience developing and overseeing corporate compliance programs in a global corporation, conducting risk assessments and managing compliance-related issues.

Familiarity with operational, financial, quality assurance and human resource procedures and regulations.

Strong understanding of the business environment and legal accountabilities.

Ability to effectively communicate potential risks to senior leaders.

Demonstrated success working with senior executives on business-critical issues.

Proven strong leadership skills, including collaboration and conflict resolution, and direct people management experience.

Expertise in global pharma / medical device and healthcare compliance regulations (, fraud and abuse laws, including Stark Law, Anti-Kickback Statute and Federal False Claims Act).

Strong sense of integrity and ability to work collaboratively within a matrixed organization.

Proven experience working on teams that span multiple regions, , Asia, Europe and the Americas.

Global perspective and ability to drive strategic initiatives and results across regions, businesses and functions.

Exceptional written and oral communication skills and ability to effectively collaborate with senior leaders to influence change.

The full-time equivalent pay range for this position is $280, - $437, plus eligibility for bonus, stock and benefits. Our pay ranges are determined by role, level, and location. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training.
