The General Counsel will serve as the chief legal advisor, overseeing all legal matters related to commercial real estate, hospitality operations, and corporate governance. This role requires extensive experience in contract review and negotiation, ensuring the company’s agreements protect its interests and comply with relevant laws and regulations.
Essential Functions
- Draft, review, and negotiate contracts related to commercial real estate transactions, leases, vendor agreements, management contracts, and other business dealings.
- Ensure contracts align with company objectives and mitigate potential risks.
- Advise on legal matters related to hotel management, property ownership, zoning, land use, and development.
- Oversee lease agreements and tenant negotiations to protect the company’s real estate assets.
- Ensure the company adheres to corporate governance best practices and regulatory requirements.
- Develop and implement legal policies and procedures to maintain compliance.
- Identify potential legal risks and develop strategies to mitigate exposure.
- Oversee litigation and disputes, managing outside counsel when necessary.
- Counsel management on employment-related matters, including policies, terminations, and workplace compliance.
- Assist in mergers, acquisitions, and joint ventures related to hospitality and real estate investments
- Juris Doctor (JD) degree from an accredited law school.
- Active bar membership in Kentucky.
- 10 years of legal experience, with a strong background in contract law, commercial real estate, and hospitality law.
- Proven ability to draft, review, and negotiate complex contracts.
- Experience advising senior management on legal and business matters.
- Strong knowledge of regulatory and compliance issues related to hospitality and real estate.
- Excellent analytical, negotiation, and communication skills.
