Key Responsibilities
- Draft and review legal documents and correspondence for Business and Finance matters.
- Conduct factual legal research using print and electronic resources.
- Collaborate with outside counsel, filing agents, and clients.
- Organize and maintain files, manage DocuSign signatures, and compile closing materials.
- Assist with due diligence for transactions and prepare documentation for business entity formation.
- Coordinate state filings (including Articles of Incorporation / Formation), lien searches, and other external services.
- Maintain corporate minute books, ownership certificates, and ledgers.
- Prepare closing binders and keep electronic data rooms up to date.
- File documents with government bodies (states, FINRA, SEC) and process invoices.
- Manage time entries, prioritize tasks, and communicate deadlines effectively.
