POSITION SUMMARY
The Associate Director II, Associate Corporate Counsel will provide legal counsel and representation to functional teams while supporting AEF’s tactical and strategic goals. This position will be required to review, draft and negotiate a variety of operational and tactical level agreements and nondisclosure agreements and manage AEF’s existing contractual relationships and obligations. This role will also review a variety of internal and external communications, including external marketing campaigns, videos, and electronic communications, for legal or compliance risk. This position will be a trusted business advisor on a variety of matters, including regulatory and compliance affairs, nonprofit tax law, data privacy, and estate issues, and help AEF achieve its goal of expanding philanthropy while flagging and addressing potential legal issues and risks.
ESSENTIAL RESPONSIBILITIES
- Draft, review and negotiate various operational and tactical level agreements, including commercial contracts, service agreements, and nondisclosure agreements.
- Review and manage AEF’s existing contractual relationships, including recommending the renegotiation or termination of agreements when appropriate.
- Review and approve AEF’s internal and external communications and marketing assets for regulatory compliance and compliance or legal risk to AEF.
- Provide legal counsel to decisionmakers while demonstrating a strong business acumen on a variety of topics, including regulatory and compliance affairs, nonprofit tax law, data privacy, and estate issues.
- Maintain up-to-date knowledge on complex regulatory requirements, including nonprofit topics and data privacy law, and educate organization on key legal requirements and changes.
- Collaborate with other members of the Office of Compliance, Legal and Risk to mitigate legal and organizational risk and develop strategies and solutions.
Qualifications
SKILLS AND QUALIFICATIONS
- JD from an ABA accredited university with strong academic credentials
- Member in good standing with Ohio State Bar, or must be able to obtain Ohio license
- 2 or more years of experience at top tier law firm or in house counsel role, preferably with emphasis on nonprofit tax law
- Excellent written and verbal communication skills
- Strong organizational skills, able to prioritize and balance multiple long- and short-term tasks
- Strong analytical skills with high attention to detail
- Demonstrate a high level of professionalism and able to handle sensitive and confidential matters in line with the Ohio Rules of Professional Conduct
