How will you make an impact in this role?
As a member of the Corporate Secretarys Office (CSO) of American Express, the CSO Paralegal position will provide legal assistance and administrative support for the Corporate Secretarys Office.
Responsibilities will include :
- Assisting with various governance functions, including maintaining complete and accurate documents, corporate records, minute books, corporate seals, stock certificates, officer and director rosters, signatory rosters, and corporate registrations and filings.
- Assisting with preparation and distribution of materials for board, committee and shareholder meetings, including notices, agendas, resolutions, meeting materials and meeting minutes.
- Preparing officer certificates, powers of attorney, contracts, and other corporate documents for signature.
- Assisting with governance and regulatory compliance, reporting and filing requirements, such as NYSE notifications, Director and Officer questionnaires and Section 16 filings (Forms 3, 4 and 5).
- Drafting and maintaining desk procedures, process documents, andpolicies owned by the Corporate Secretarys Office.
- Supporting the preparation and review of the proxy statement and assisting with the annual meeting of shareholders,
- Assisting with subsidiary governance and entity management.
- Responding to audit and / or regulatory requests.
- Recognizing and properly escalating significant matters.
- Providing support to CSO attorneys and other internal stakeholders, as needed.
Minimum Qualifications
Salary Range : $55,000.00 to $105,000.00 annually bonus benefits
