- you will provide

- What You’ll Do :
- Real Estate & Corporate Transactions
- Document Preparation
- Draft, analyze, and prepare real estate closing documents, corporate governance materials, and legal exhibits.
- Due Diligence
- Conduct detailed reviews of title, survey, and other due diligence materials, preparing
- title and survey comments
- for attorney review.
- Closing Coordination
- Manage all aspects of closings, including preparing
- Closing Instruction Letters
- facilitating document execution, and liaising with
- title companies, surveyors, and clients
- Search & Compliance
- Order and analyze
- UCC, judgment, lien, and litigation searches
- ensuring transactions comply with all regulatory requirements.
- Entity Formation & Maintenance
- Research and prepare filings for the formation, management, and dissolution of
- Corporations, LLCs, and LPs
- and ensure compliance with
- state and international regulations
- Foreign Qualifications
- Obtain
- good standing certificates
- from foreign jurisdictions for U.S. state qualifications and corporate compliance.
- Legal Project Management & Leadership
- Strategic Support
- Provide attorneys with critical legal research, initial
- drafting of resolutions, checklists, and transactional documents
- and organization of files.
- Meeting & Proceeding Participation
- Attend
- client meetings, coordination meetings, and legal proceedings
- alongside attorneys to ensure seamless execution of legal strategies.
- Project Leadership
- Supervise
- Project Assistants
- delegating tasks efficiently and ensuring high-quality work product.
- Legal Communication
- Draft client and attorney communications, ensuring clarity and professionalism in all correspondence.
- Billing & Professional Excellence
- Time Management
- Accurately record and track billable and non-billable hours, meeting the following performance metrics :
- 1,536 total creditable hours per evaluation year
- April 1 - March 31), with at least
- 1,416 client billable hours
- Pro bono and firm representation hours limited to 120 total hours
