A multi billion dollar Healthcare company is seeking a General Counsel to join their Executive Team. The role will encompass all general supervisory responsibility for the legal affairs of the company. Requires appropriate legal and ethical judgment and subject matter knowledge and capacity to understand specific needs or requirements of the organizations various lines of business. Advises company officers, board members, and other organizational constituents about legal rights, obligations, and privileges. Responsible for handling and overseeing a variety of assigned legal projects. Provides functional advice and training to Legal Department personnel.

STRONG HEALTHCARE COMPLIANCE IS REQUIRED.

The role is based full time in Tampa Bay. Only local or candidates looking to relocate will be considered.

Responsibilities :

Leads, trains, and supports professionally and administratively in-house associate attorneys and paralegals.

Responsible for managing legal matters generally, including working with senior management in the assessment of legal risk associated with, and the creation of defensive strategies or proactive strategies regarding, matters of significant or potentially significant impact.

Provides legal counsel, advice, and support to senior management on a broad range of topics to include, without limitation, the following : healthcare, commerce, mergers and acquisitions, employment, insurance, and intellectual property; disputes, claims, and contracting aspects involving such topics; and statutory, regulatory, judicial, and administrative rules and guidance affecting such topics.

Negotiates, drafts, and executes, and oversees the negotiation, drafting, and execution of, agreements on behalf of the organization.

Communicates and maintains appropriate contact with senior management and the organizations parent company, regarding matters of significance or potential significance to the organization.

Examines legal information in connection with decisions surrounding the defense and prosecution of litigation.

Coordinates with the organizations healthcare compliance department, regarding matters that involve the organizations compliance with various healthcare and privacy-related laws and regulations.

Keeps abreast of legislative, judicial, and regulatory changes that may affect the organization and its lines of business.

Reviews advertising and marketing materials and proposed policies and procedures to ensure compliance and consistency with legal and regulatory obligations and organizational policies and procedures.

Manages the organizations governance requirements, including drafting and maintaining board and owner resolutions.

Selects, manages, and retains outside counsel and third-party consultants on behalf of the organization.

Maintains responsibility for the departments expenses, including reviewing and presenting for payment legal invoices and setting and updating legal accounting reserves and loss contingencies.

Sets internal governance policies of the Legal Department.

Qualifications;

Include specific knowledge, skills and / or abilities

Ability to supervise large numbers of matters across a wide array of subjects

Ability to counsel business leaders regarding complex legal matters

Well developed analytical, communication, research and writing skills

Ability to analyze, synthesize, and apply complex laws and regulations

Ability to assess risk with respect to commercial dealings and product offerings and services

Excellent people skills and ability to collaborate

Excellent judgment and ability to work independently, manage various tasks, and simultaneously balance competing priorities and deadlines

Education and Experience

Include required and / or preferred certificates, licenses, registrations, and education

Required : Law degree from accredited U.S. law school.

Required : Licensed to practice law and in good standing. If not a member of the Florida Bar, the successful candidate will be required to obtain Authorized House Counsel status in Florida.

Required : Minimum of 15 years of broad legal experience, including business transactions, litigation, and regulatory matters with a particular emphasis in healthcare.

Required : Ability to work legally in the U.S. on a permanent basis.

Preferred : An MBA or similar formal education or business experience.
