The Role
The Associate General Counsel will support General Counsel, focusing on transactional matters including contracts, mergers and acquisitions, corporate governance, employment law, intellectual property, and limited securities law.
This role requires a high level of professionalism, confidentiality, an understanding of contracts and corporate structures. This client-facing role will draft and review legal documents, conduct research, manage legal initiatives, and handle some administrative tasks to ensure compliant records.
Key Responsibilities
- Draft, proofread, and manage legal documents related to M&A, corporate governance, securities filings, non-disclosure agreements, contracts, state filings, and other transactional matters.
- Prepare and manage client engagement letters, ensuring compliance and completion; Serve as a point of contact for firm clients, vendors, and firm leaders.
- Conduct legal research related to corporate law, employment law, and others, providing relevant information and analysis.
- Analyze and summarize legal documents, corporate filings, and legal department data and preparing reports and supporting documentation.
- Draft and administer corporate records, resolutions, and other governance documents, ensuring compliance with corporate policies, securities regulations, and other legal requirements.
