Seeking a Corporate Transactional Associate with experience with Mergers & Acquisitions, drafting corporate formation documents and other business entities, LLC operating, shareholder, and other agreements typically relevant in these types of transactions, as well as strong corporate formation and commercial contracting experience for non-public entities.
Firm represents various businesses, municipalities, government entities, and national religious organizations that we handle a myriad of transactional matters for, including purchasing and acquiring properties all over the country.
This is a remote role - candidates must live in the Miami / Coral Gables area
7-12 years of experience needed.
226,000 plus bonus
Duties :
Drafting contracts, settling contract disputes, corporate governance, drafting internal policies and procedures, risk assessment, due diligence preparation and compliance.
Should have experience in the areas of Corporate, Transactions, and Contract Formation / Negotiation.
The candidate should demonstrate transactional skills, including structuring, drafting, reviewing, and negotiating sophisticated contracts; reviewing and understanding intricate regulations and statutes; and managing demanding complex multi-faceted transactions.
Requirements
Juris Doctor (JD) degree from an accredited law school.
Active license to practice law in Florida.
7-12 years of litigation experience, or equivalent.
Strong legal research skills with proficiency in using Westlaw or similar platforms.
Excellent written and verbal communication skills to effectively advocate for clients.
Ability to negotiate settlements and litigate cases with confidence.
Strong analytical skills with attention to detail in all aspects of legal work.
