Our Am Law client’s Securities and Capital Markets Group is seeking a Junior to Mid-Level Associate to advise their growing base of public company clients as a member of of their Public Company Advisory team. This is an exciting opportunity to work on a wide range of matters related to disclosure obligations under federal securities laws, compliance with listing standards, interactions with the SEC, and corporate governance needs. The ideal candidate will have at least two to five years of experience in public company advisory work, including drafting and reviewing Exchange Act filings, as well as advising clients on various securities law matters. This is a full-time position based in their Fort Lauderdale, FL office.
What Your Day May Look Like:

Advise public company clients on their day-to-day disclosure obligations under federal securities laws.

Assist clients in complying with applicable listing standards of major U.S. exchanges.

Support clients in their interactions with the SEC, including preparation of filings and other communications.

Draft and review Exchange Act filings such as Forms 10-K, 10-Q, 8-K, and proxy statements.

Provide advice on executive and director compensation and related disclosures.

Work on capital markets transactions, including primary and secondary equity offerings, high-yield debt offerings, and M&A transactions.

Collaborate with the team on joint ventures, capital markets offerings, and other transactions.

Stay informed on developments in securities laws, corporate governance, and executive compensation, advising clients on strategic trends.

Assist clients with risk mitigation efforts and provide preparatory services for corporate governance and compliance.
Qualifications:

JD from an ABA-accredited law school.

At least 2-5 years of experience in public company advisory work.

Experience with drafting and reviewing Exchange Act filings (Forms 10-K, 10-Q, 8-K, and proxy statements).

Strong familiarity with listing standards of major U.S. exchanges.

Understanding of executive and director compensation and related disclosures.

Experience in offering work, such as equity offerings, high-yield debt offerings, and M&A is a plus.

Strong communication and client management skills.

Ability to work collaboratively in a team environment and across various industries.
