Our Am Law client is seeking a Financial Institutions Associate with at least 2 years of experience in banking and financial institutions regulatory matters and/or securities law, including M&A. This is an excellent opportunity for a motivated associate to work with sophisticated public and private clients on complex financial transactions.
Key Responsibilities:
- Advise financial institutions on federal securities law, securities offerings, and bank regulatory laws.
- Support attorneys on a wide range of financial transactions, including M&A and securities offerings.
- Draft and review SEC reports, registration statements, and other regulatory filings.
- Assist in the preparation and negotiation of transactional documents for securities offerings and M&A deals.
- Provide counsel on corporate governance principles for public companies and the banking industry.
- Conduct legal research and analysis on financial regulatory compliance issues.
- Maintain and develop strong client relationships through effective communication and strategic guidance.
Qualifications:
- At least 2 years of experience in financial regulatory matters, securities law, and M&A.
- Strong understanding of federal securities laws, banking regulations, and corporate governance principles.
- Ability to draft, review, and negotiate complex transactional documents.
- Excellent research, analytical, and communication skills.
- Strong academic credentials and interpersonal skills.
- DC Bar admission preferred.
