Our Am Law client is seeking a Financial Institutions Associate with at least 2 years of experience in banking and financial institutions regulatory matters and / or securities law, including M&A . This is an excellent opportunity for a motivated associate to work with sophisticated public and private clients on complex financial transactions.
Key Responsibilities :
- Advise financial institutions on federal securities law, securities offerings, and bank regulatory laws .
- Support attorneys on a wide range of financial transactions , including M&A and securities offerings .
- Draft and review SEC reports, registration statements, and other regulatory filings .
- Assist in the preparation and negotiation of transactional documents for securities offerings and M&A deals .
- Provide counsel on corporate governance principles for public companies and the banking industry .
- Conduct legal research and analysis on financial regulatory compliance issues.
- Maintain and develop strong client relationships through effective communication and strategic guidance.
