What We Are Looking For:
We are seeking a highly skilled and experienced Associate General Counsel – Reinsurance to manage and oversee the legal aspects of our reinsurance business line, with a focus on reinsurance, mergers and acquisitions (M&A), and other strategic transactions. This is an exciting opportunity to play a key role in the growth and strategic direction of our reinsurance portfolio, providing legal expertise and guidance across various high-value transactions and agreements. This role reports to the Chief Legal Officer and is required to be onsite 3 days a week at our Durham, NC headquarters.
What You Will Do:
You will be part of a dynamic and growing organization at the forefront of the reinsurance industry, collaborate with a talented and supportive team of professionals and gain exposure to complex and high-impact legal matters that drive business success.
Reinsurance/Transactions Management:
- Lead and oversee the legal aspects of the company’s reinsurance operations, including the negotiation, drafting, and interpretation of reinsurance agreements.
- Provide legal advice on reinsurance market trends, regulatory compliance, risk management, and emerging legal issues in the reinsurance industry.
- Work closely with internal stakeholders to assess legal risks, opportunities, and strategies within the reinsurance portfolio.
- Provide legal support for M&A transactions, including due diligence, structuring, negotiation, and documentation.
- Advise on regulatory approvals and compliance issues related to transactions in the reinsurance and insurance sectors.
- Draft, negotiate, and manage ancillary agreements that support reinsurance operations, including broker agreements, service contracts, trust agreements, and other commercial arrangements.
- Ensure that ancillary agreements comply with regulatory standards and mitigate legal and operational risks.
Legal Strategy and Risk Management:
- Develop and implement legal strategies that align with business goals and mitigate risks associated with the reinsurance business line.
- Advise on potential litigation risks or disputes arising from reinsurance transactions and work with the litigation team to manage any legal proceedings.
- Stay current on industry regulations, developments, and best practices related to reinsurance, M&A, and ancillary agreements.
- Draft, negotiate and advise on commercial contracts, including vendor contracts, non-disclosure agreements and other general corporate contracts
- Advise on corporate and legal entity expansion and restructuring options
- Assist with other strategic initiatives as necessary
- Preparation of transaction-related materials for board, regulator, rating agency and other stakeholder review
Cross-functional Collaboration:
- Work closely with business leaders, finance, compliance, and operational teams to ensure effective legal and business decision-making.
- Provide legal counsel and support to other departments as required

Requirements:What We Require:
- Law degree and member in good standing of a State Bar
- 5 years of relevant transactions experience with a law firm or as in-house counsel
- Experience with and/or deep interest in insurance and reinsurance
- Demonstrated commitment to excellence in the provision of legal advice
- Strong analytic and problem-solving skills
- Collaborative approach
- Ability to work effectively in a high-pressured and fast-paced environment
- Excellent communication and interpersonal skills
