Job Description:
Seeking a highly motivated and experienced Associate General Counsel to join the Legal & Compliance Department as its second hire. As Associate General Counsel you will report directly to the General Counsel and Chief Compliance Officer on a variety of matters, including the following:
- Legal: Drafting and negotiating sub-advisory agreements, prime brokerage agreements, service provider agreements, NDAs and general business contracts.
- Updating, monitoring and revising offering materials and regulatory filings
- Supporting the Board of Directors and internal Committees
- Providing legal support and guidance to all departments at the fund
- Preparing responses to and reviewing requested Due Diligence Questionnaires
- Advising on general corporate matters.
- Compliance: Supporting the compliance program, including the implementation, review and monitoring of various activities covered by compliance policies and procedures
- Assisting with the periodic testing of compliance policies and procedures
- Updating compliance policies and procedures on a periodic basis
- Working together with external compliance consultant
- Supporting additional compliance initiatives that may arise
- Requirements/Qualifications: Juris Doctor (JD) from an accredited law school
- Admission to a State Bar and in good standing
- 3-7 years relevant experience in Hedge Funds required
- Prior experience at a top-tier law firm in the investment management group or in-house counsel at a hedge fund required
- Experience drafting and reviewing complex, multi-jurisdictional investment management agreements
- Expertise in SEC regulation, particularly the Investment Advisers Act of 1940
- Expertise in private funds and investment management principles
- Interest in being a corporate generalist
