As a Sr. Corporate Attorney, you will be responsible for providing legal advice and guidance to the company on a wide range of corporate matters. The ideal candidate will have 7-10 years of experience in corporate law, including corporate securities, business transactions, mergers and acquisitions, securities offerings, debt and equity financings, general corporate matters, entity formations, emerging growth companies, and private equity investments.Responsibilities : Provide legal advice and guidance to the company on corporate matters, including corporate securities, business transactions, mergers and acquisitions, securities offerings, debt and equity financings, general corporate matters, entity formations, emerging growth companies, and private equity investments.Draft, review, and negotiate various types of corporate agreements, including purchase agreements, shareholder agreements, employment agreements, and other corporate documents.Manage and oversee the legal aspects of corporate transactions, including due diligence, drafting and negotiating transaction documents, and coordinating with other departments and outside counsel.Advise the company on compliance with securities laws and regulations, including the Securities Act of 1933, the Securities Exchange Act of 1934, and the Sarbanes-Oxley Act.Provide legal support to the company's finance and accounting departments, including advising on financial reporting requirements and assisting with SEC filings.Manage outside counsel on various legal matters and ensure that legal services are delivered in a timely and cost-effective manner.Qualifications : Juris Doctorate from an accredited law school and active bar membership in good standing.7-10 years of experience as an associate attorney or senior associate attorney in a law firm or in-house legal department, with a focus on corporate law and transactions.Strong knowledge and experience in corporate securities, business transactions, mergers and acquisitions, securities offerings, debt and equity financings, general corporate matters, entity formations, emerging growth companies, and private equity investments.Excellent drafting, negotiation, and communication skills.Ability to manage multiple projects and priorities in a fast-paced environment.Strong analytical and problem-solving skills.Ability to work independently and as part of a team.Experience managing outside counsel and legal budgets.#J-18808-Ljbffr
