Target Range:
$125,000.00/Yr. - $140,000.00/Yr.Actual starting pay will vary based on factors including, but not limited to, geographic location, experience, skills, specialty, and education.
Eligible for an Annual Discretionary Cash Bonus Target: 12.5%Eligible for an Annual Discretionary Restricted Stock Units Bonus Target: 12.5%These discretionary target bonuses may be awarded semi-annually based upon your achievement of performance goals and targets.
About This Job
The Associate General Counsel provides legal expertise and strategic guidance to support the organization’s operations and compliance efforts. This role involves advising on corporate governance, regulatory matters, contracts, and risk management while ensuring adherence to applicable laws and policies. Working closely with internal teams and external counsel, the Associate General Counsel plays a key role in mitigating legal risks and facilitating business objectives.Responsibilities:
- Draft, review, and negotiate transaction documents, with a primary focus on mergers & acquisitions, securitizations, and commercial real estate transactions
- Develop and maintain standardized form contracts for routine business activities
- Identify and mitigate legal risks to protect the Bank’s interests
- Ensure adherence to the Bank’s legal policies and maintain compliance with applicable laws and regulations
- Provide timely, practical, and solution-oriented legal support to all Bank business units
Qualifications:
- Juris Doctor (JD) degree from a highly regarded law school
- A minimum of 5 years of experience at a major law firm, with a strong focus on mergers & acquisitions and securities law, including the drafting, review, and negotiation of transaction documents
- Experience with real estate transactions is a plus but not required
- Familiarity with third-party service provider agreements is preferred but not mandatory
- Strong problem-solving, critical thinking, analytical, and strategic planning abilities
- Ability to thrive in a fast-paced and dynamic environment
- Proven capacity to manage a diverse and complex workload effectively
- Excellent interpersonal, communication, and negotiation skills
- Outstanding organizational skills with strong time management and follow-up capabilities
- Active California Bar membership in good standing, with no disciplinary history
