What are the responsibilities and job description for the Associate Attorney - Corporate position at Baker Sterchi Cowden & Rice?
Baker Sterchi Cowden & Rice LLC, a litigation boutique of 170 employees, has a unique opportunity for an associate attorney with at least five years of corporate and transactional experience including mergers and acquisitions.
Candidates must be licensed in Missouri and Kansas and have the ability to work independently on complex corporate and transactional cases. Experience in other states is preferred.
Duties and Responsibilities
- Handle all aspects of company mergers and acquisitions, including due diligence, deal structuring, and transactional documentation.
- Advising on succession planning for businesses.
- Review, draft, and negotiate various contracts including vendor agreements, employment contracts, and partnership agreements.
- Advising on corporate governance matters, board of directors matters, and shareholder rights.
- Knowledge of fiduciary duties and responsibilities of shareholders, and the interrelationships between members and shareholders of companies.
- Handle all aspects of estate planning needs for clients.
- Ensuring company compliance with relevant laws and regulations across various industries.
- Identify potential legal risks and advise on mitigation steps.
- Conduct legal research to support business decisions in connection with complex contracts and corporate governance issues and claims and provide accurate legal advice.
