What are the responsibilities and job description for the Corporate Securities/M&A Associate position at Barnes & Thornburg LLP?
Barnes & Thornburg LLP is seeking an attorney with a strong background in corporate securities and mergers and acquisitions (M&A) to join our Corporate Department. The ideal candidate will have at least 3 years of experience with federal and state securities laws, particularly the reporting obligations and filings under the Securities Exchange Act of 1934, including Form 10-Ks, Form 10-Qs, Form 8-Ks, Section 16 filings, and proxy statements, and experience with filings and issues arising under the Securities Act of 1933. In addition, the candidate should have experience advising on mergers and acquisitions transactions, including structuring, negotiating, and executing deals. This role offers a unique opportunity to work in a dynamic practice balancing securities law and M&A transactional work.

Qualifications
- Experience reviewing periodic reports under the Securities Exchange Act of 1934 and advising public companies on SEC reporting obligations
- Experience advising on and managing mergers and acquisitions (M&A) transactions
- Experience advising public clients on corporate governance and stock exchange listing requirements
- Leadership experience managing teams and guiding more junior attorneys
- Outstanding writing, research, and analytical skills
- Strong academic credentials
- Highly motivated to be part of an active corporate practice, demonstrating initiative, an ability to assume direct responsibility for client matters, and strong interpersonal skills to work collaboratively with team members and clients
- Admission to the local state bar or eligibility to waive in
