Duties- Lead due diligence processes for mergers, acquisitions, and other corporate transactions.
- Manage and coordinate the work of specialists involved in various aspects of transactions.
- Draft, review, and negotiate a wide range of transaction documents, including purchase agreements, disclosure schedules, and other related agreements.
- Provide strategic legal advice to clients on corporate governance, venture capital, and other corporate matters.
- Support clients through complex corporate transactions, ensuring compliance with relevant legal and regulatory requirements.
- Work with cross-functional teams to address the legal needs of both private and public companies.
- Manage multiple assignments simultaneously, ensuring timely and effective delivery of services.
- Cultivate and maintain strong client relationships through proactive communication and responsiveness.
- 3-6 years of experience in corporate law, specifically with mergers & acquisitions, venture capital, and corporate governance.
- Demonstrated experience in leading due diligence teams and managing transaction processes.
- Proficiency in drafting and negotiating a wide array of corporate transaction documents.
- Ability to manage multiple assignments with minimal supervision and work efficiently under tight deadlines.
- Strong written communication skills, with a focus on clarity and precision in legal documentation.
- Excellent academic credentials and a track record of professional success.
- Ability to work both independently and collaboratively in a team-oriented environment.
- Strong interpersonal skills and the ability to build lasting client relationships.
- Juris Doctor (JD) from an accredited law school.
- Admission to the state bar (Colorado or ability to waive in).
- Expertise in mergers & acquisitions, venture capital, corporate governance, and general corporate law.
- Experience with drafting and negotiating complex transaction documents.
- Strong due diligence management and team leadership skills.
