Governance team on securities law counseling and significant governance transactions. The successful candidate will possess strong academic credentials, excellent communication skills, and a commitment to public company compliance and corporate governance.Duties:Provide day-to-day counseling on securities law compliance, disclosure, and corporate governance matters.Assist with handling significant governance transactions, including executive succession, corporate crises, shareholder proposals, and shareholder activism.Work closely with the Public Companies
Governance team to address complex legal issues and provide strategic advice.Draft and review legal documents related to securities offerings, mergers and acquisitions, and other corporate matters.Support clients with compliance with federal securities laws, including the Securities Exchange Act of 1934 and related regulations.Manage and respond to regulatory inquiries and compliance reviews.Collaborate with clients to develop and implement corporate governance policies and procedures.Maintain up-to-date knowledge of developments in securities law and corporate governance best practices.Requirements:4-5 years of experience advising public companies on securities compliance and corporate governance matters.Demonstrated experience with securities law compliance, disclosure, and corporate governance.Prior experience with general corporate matters, including securities offerings and/or mergers and acquisitions is helpful.In-house experience is valued but not required.Strong academic credentials with a commitment to excellence.Excellent communication skills, both written and verbal.Highly responsive with a demonstrated interest in public company compliance and corporate governance.Education:Juris Doctor (JD) degree from an accredited law school.Certifications:Admission to practice law in the relevant jurisdiction (Minnesota Bar required).Skills:Expertise in securities law compliance and corporate governance.Proficiency in handling significant governance transactions and regulatory matters.Strong drafting and analytical skills.Ability to manage complex legal issues and provide strategic advice.Excellent interpersonal and communication skills.Ability to work effectively as part of a team and independently.Commitment to being highly responsive and maintaining high standards of client service.Benefits Offered:Productivity and discretionary bonuses.Life, health, accident, and disability insurance.401(k) plan with firm contributions.
