A law firm in Chicago, IL is seeking a Senior Corporate Attorney with a focus on Mergers and Acquisitions (M&A) to join their team. The ideal candidate will have 6 years of experience in M&A, including private company transactions, corporate governance, and commercial contracts. Experience with private equity, sophisticated M&A transactions, and private securities offerings is a plus. The ability to bring portable business is also highly valued.
Duties :
- Lead and manage M&A transactions for private companies, including due diligence, negotiation, and deal structuring.
- Provide strategic legal advice on corporate governance, LLC / shareholder agreements, and commercial contracts.
- Advise middle-market companies on a variety of general corporate matters and legal strategies.
- Oversee the drafting, review, and negotiation of complex M&A agreements and related documents.
- Manage and coordinate with clients, opposing counsel, and other stakeholders throughout the transaction process.
- Conduct legal research and analysis to support M&A transactions and corporate governance issues.
- Stay abreast of legal and regulatory developments related to M&A, private equity, and corporate law.
- Mentor and supervise junior attorneys and support staff as needed.
- Develop and maintain client relationships, and contribute to business development efforts.
