About the Company

As they continue to scale, they are seeking a seasoned General Counsel (GC) to lead legal strategy, oversee regulatory compliance, and mitigate risk in a highly regulated financial environment.
The Role
The General Counsel will serve as a key strategic advisor to the executive team, ensuring the company’s legal and compliance frameworks align with federal and state mortgage regulations, particularly in mortgage origination . The ideal candidate has deep experience in mortgage lending, loan origination, and regulatory compliance , with a strong background in corporate governance, contract negotiation, and risk management .
While experience with mortgage servicing is a plus, the primary focus is on legal and regulatory expertise in mortgage origination.
Key Responsibilities
Regulatory Compliance & Risk Management
Ensure compliance with CFPB, RESPA, TILA, ECOA, HMDA, FHA, and GSE (Fannie Mae / Freddie Mac) requirements .
Oversee licensing requirements for mortgage origination at both federal and state levels.
Work closely with regulators on audits, inquiries, and licensing matters.
Develop internal policies and compliance programs to mitigate risk and align with legal best practices.
Legal Strategy & Corporate Governance
Provide legal counsel on loan origination, underwriting, and disclosure regulations .
Draft, review, and negotiate contracts, including vendor agreements, loan documents, and investor agreements .
Advise on corporate policies, employment law matters, and dispute resolution.
Litigation & Dispute Resolution
Manage outside counsel on regulatory enforcement actions, licensing issues, and legal disputes .
Represent the company in negotiations, mediations, and arbitrations when necessary.
Strategic Business Partner
Collaborate with C-suite executives on risk assessment and long-term business strategy.
Assist in structuring and negotiating funding agreements and capital markets transactions.
Stay ahead of industry trends, advising leadership on evolving regulatory landscapes.
Product Counsel
Provide legal guidance on the development and implementation of mortgage-related products.
Ensure product offerings comply with all relevant mortgage industry regulations and consumer protection laws.
Work closely with product, engineering, and compliance teams to mitigate legal risks associated with new products and services.
Review and negotiate partnership agreements related to product development and distribution.
Ideal Candidate Profile
Experience : 10 years of legal experience, with at least 5 years as a General Counsel in a mortgage or financial services company .
Industry Knowledge : Deep understanding of mortgage origination, underwriting, and regulatory compliance . Experience in mortgage servicing is a plus .
Education : J.D. from an accredited law school; licensed to practice law in at least one U.S. jurisdiction.
Skills : Strong expertise in regulatory compliance, risk management, contract negotiation, corporate governance, and litigation oversight .
