The Role: Manager, Mergers & Acquisitions
The Mergers & Acquisitions Manager will be a key contributor to the Better Than Home community as we continue to build the business. This individual will support all acquisition and integration-related work streams from the initial valuation through post-close integration. This includes, but is not limited to, creating valuation analyses, initial business due diligence, quality of earnings review, drafting of letters of intent, drafting purchase agreements, recommending equity/debt financing, and overseeing the flow of funds for each transaction. This individual will work closely with the Director of Mergers & Acquisitions, the CEO, CFO, and CDO as part of this assessment work. Given the dynamic, growing nature of our platform, agility to quickly move between tasks is critical, as this role is a strategically critical role as we continue to rapidly grow, acquire, and integrate future business.

Key responsibilities:
· Assist in the acquisition and integration process, including supporting the efforts of business development, operations, marketing, finance/accounting, and external consultants and service providers, to successfully close and integrate acquisitions.
· Participate in the valuation process of targets using historic and forecasted financial information, synthesizing inputs from various stakeholders and other relevant sources.
· Identify synergy opportunities for prospective targets to achieve the desired net-down multiple for each deal.
· Effectively communicate information requests and timelines with external consultants and business partners to facilitate successful closing of acquisitions.
· Assist the business development team in the due diligence process by:
o Identifying unusual items that should be reviewed as part of the quality of earnings report.
o Participating in calls with external consultants on quality of earnings and communicating impacts/findings to stakeholders.
o Reviewing due diligence materials provided by targets & ensure support is adequate for accounting records.
· Assist the operations team in the due diligence / integration process by:
o Assist with day 1 readiness initiatives, including management of pre-closing and post-closing checklist.
o Enhancing the playbook for acquisitions and integrations to standardize and streamline the acquisition process from start to finish.
· Collaborate with finance/accounting to ensure appropriate financial reporting and acquisition integration:
o Provide insights to the finance/accounting team to develop anticipated post-close revenue and EBITDA targets based on diligence work performed.
o Help establish opening balance sheets with fair value measurements, including but not limited to allocating purchase price correctly and properly identifying tangible and intangible assets.
o Determine stub-period financial statements if mid-month close applies.
o Assist with post-close performance verification to ensure team is achieving pro forma expectations.
o Help with any audit and/or tax requirements, as necessary.
· Other duties as assigned, consistent with this role and a small, rapidly growing company.
Qualifications:
· Bachelor’s Degree required in finance, accounting, economics or other related fields; CPA certification preferred
· Master’s degree in accounting or finance preferred
· 3 years’ experience in accounting, finance, or commercial/investment banking related role; experience with mergers & acquisitions preferred
· Exceptional data analysis skills
· Highly skilled in Excel spreadsheets and other accounting software (use of Quickbooks and other middle-market ERP packages is preferred)
· Excellent communication (written and verbal) skills
· Strong customer service and organizational skills
· High integrity, excellent work habits, including a willingness to work the hours necessary to complete a task or project, especially when important deadlines cause greater than normal pressure
