Job Summary: We are seeking a detail-oriented and solutions-driven Commercial Contracts & Projects Specialist to join our team. In this role, you will define and maintain our commercial terms and conditions for manufacturing and installation, develop and manage a formal review process for customer terms and conditions, refine warranty terms, and support special projects as needed. You will work closely with sales, finance, operations, and other cross-functional stakeholders to ensure contracts effectively protect Big Top’s interests while also helping drive process improvements and strategic initiatives across the organization. This role will report to the Chief Commercial Officer.

Essential Duties & Responsibilities:

Commercial Terms & Conditions

• Develop, maintain, and update standard commercial terms and conditions for manufacturing and installation projects.
• Ensure contractual language complies with industry standards, legal requirements, and company risk tolerance.

Contract Review Process

• Design, implement, and oversee a systematic process for reviewing terms and conditions presented by customers.
• Establish guidelines, timelines, and checkpoints to ensure timely and accurate contract assessment.

Warranty Terms

• Refine and maintain warranty terms to align with customer expectations, industry standards, and legal requirements.
• Collaborate with internal teams to ensure consistent application and communication of warranty provisions.

Tools & Technology Integration

• Identify and evaluate contract review tools, including artificial intelligence (AI) platforms, that can improve efficiency and reduce errors.
• Work with IT and other internal teams to implement and optimize relevant technology solutions.

Cross-Functional Collaboration

• Collaborate closely with sales, finance, and operations to gather input on contract terms, identify potential risks, and develop solutions.
• Communicate contract review processes, updates, and best practices across all relevant departments.

Risk Management & Compliance

• Identify and mitigate potential risks in commercial contracts, ensuring alignment with company policies and legal standards.
• Stay current on relevant regulations and industry trends that may impact contract structure or content.

Reporting & Analysis

• Track and report on contract review KPIs (e.g., turnaround time, rate of revisions, cost savings).
• Use data analytics to recommend improvements to contract processes and outcomes.

Project Support & Special Initiatives

• Lead or support cross-functional special projects, ensuring alignment with company objectives and compliance requirements.
• Collaborate with various teams on ad hoc initiatives related to contract management, risk assessment, or process improvement.

Training & Support

• Provide ongoing education and support to internal teams regarding commercial terms, contract best practices, and risk mitigation strategies.
• Serve as the point of contact for troubleshooting and clarifying contract-related questions or disputes.

Required Skills & Abilities:

• Strong understanding of contract law, contract management, and/or legal terminology.
• Excellent written and verbal communication skills.
• Demonstrated ability to implement or work with AI-driven or other contract management tools.
• Exceptional attention to detail, analytical thinking, and problem-solving skills.
• Ability to balance legal, financial, and operational perspectives when reviewing contracts.
• Solid project management skills, with the ability to prioritize and manage multiple tasks simultaneously.
• Team-oriented approach and strong interpersonal skills to collaborate across departments.

Education & Experience:

• Bachelor’s degree in Business Administration, Legal Studies, or a related field required. Juris Doctor (JD) is a plus.
• 2 years of progressively responsible experience in contract review, contract management, or a related field required.
• Proficiency in Microsoft Office and familiarity with contract management software; experience with AI-based tools is highly desirable.

Physical Demands:

• Must accurately exchange information with co-workers, management, customers, and vendors.
• Occasionally moves files and boxes of records weighing up to 20 lbs.
• Constantly operates a computer and other office machinery, such as copiers, printers, and telephones.
• Must be able to remain stationary for 80% of the time.
