Position Summary
The Legal Contracts Specialist (LCS), supported by the Deputy CEO of Experience and Operations, is responsible for conducting comprehensive contract and grant agreements reviews to identify and assess potential financial, deliverables, legal, and evaluation risks and liabilities. This role involves summarizing and documenting findings, collaborating with relevant teams to mitigate risks, and ensuring compliance with organizational policies and external regulations. LCS provides input to the program, finance and people and culture teams regarding contract budget review and salary allocation management.
Key Duties and Responsibilities
- Contract and Grant Review:
- Thoroughly review contract and grant agreements to identify potential risks and liabilities.
- Analyze financial terms, deliverables, timelines, and performance metrics.
- Assess legal implications, compliance requirements, and potential disputes.
- Evaluate the adequacy of risk mitigation strategies and insurance coverage.
- Risk Assessment and Mitigation:
- Identify and prioritize key risks associated with contracts and grants.
- Develop strategies to mitigate identified risks, such as negotiating favorable terms or implementing additional safeguards.
- Collaborate with legal counsel and other relevant stakeholders to address complex legal issues.
- Documentation and Reporting:
- Prepare clear and concise summaries of contract and grant reviews, highlighting key findings and recommendations.
- Document risk assessments, mitigation strategies, and action plans.
- Maintain accurate records of contract and grant review activities.
- Provide regular updates to management on the status of contract and grant reviews.
- Collaboration and Communication:
- Work closely with program and project managers, finance staff, and legal counsel to ensure alignment and effective risk management.
- Communicate complex legal and financial concepts to non-legal audiences clearly and concisely.
- Participate in contract negotiation and amendment processes.
- Provide guidance and support to staff on contract and grant compliance.
- Contract Budget Review and Salary Allocation Management:
- Review contract budgets to ensure accuracy and alignment with organizational goals.
- Monitor budget expenditures and identify potential budget variances.
- Manage salary allocations for contract-funded positions, ensuring compliance with labor laws and regulations.
- Coordinate with finance and HR departments to resolve salary and budget-related issues.
- Other Duties as Assigned:
- Assist with special projects as needed.
- Participate in meetings and trainings as required.
Qualifications

Qualifications
- Bachelor's degree in law, business, finance, or a related field
- 2 years of experience in contract review, legal analysis, or risk management
- Experience working in a non-profit or government organization is preferred
- Paralegal certification or equivalent experience is a plus
- Experience working with diverse communities and building strong community relationships, specifically focusing on Oakland, California.
- Proficiency in Microsoft Office Suite and project management software.

Physical Demands:
Essential functions of the position require the employee to use a telephone, work at a standard
computer terminal and be able to follow reasonable ergonomic recommendations, sit for long
periods of time, repetitive motions, stand, reach, lift and carry 20 pounds, and bend. Valid Driver’s
License and current auto insurance required for logistics and event coordination.
Salary : $25 - $46
