Bow River has five private fund platforms : Defense Technology, Private Credit, Private Equity, Real Estate, and Software Growth Equity, and a registered fund, the Bow River Capital Evergreen Fund, which provides access to private market investments to a broad set of investors.

Role Description

We are looking for a skilled and experienced corporate lawyer to join the firm’s growing legal and compliance team. Reporting to the General Counsel, the Legal Counsel will advise on corporate governance, employment, transactional, procurement, operations and other strategic matters across each of the firm’s corporate entities. Responsibilities

Work closely with internal stakeholders to understand their business objectives and provide strategic legal advice to help them achieve their goals.

Prepare and review corporate governance documents, including board materials, resolutions and meeting minutes, as well as drafting and maintenance of operating agreements, corporate bylaws and shareholder agreements.

Draft, review and negotiate a wide range of agreements, including but not limited to, master services agreements, non-disclosure agreements, purchase agreements, partnership agreements, consulting agreements, intercompany agreements, investment management agreements, and distribution agreements.

Assist in the diligence, structuring and negotiation of complex business transactions.

Assisting in the development and implementation of internal processes to enhance operational efficiency (including ownership of entity and contract management software)

Assist with insurance program matters, employment matters, entity management matters, and litigation matters, as required.

Manage external counsel and provide ad hoc legal advice to internal departments on various legal issues related to firm operations.

Excellent organizational skills and attention to detail.

Ability to provide and receive constructive feedback.

Interest in learning about artificial intelligence technology and the use of these applications to create efficiency and manage risk.

Proficiency in Microsoft Office Suite and legal research databases.

Required Education, Credentials and Experience

Three to five years’ experience as a lawyer within a law firm or in-house

Experience with private equity backed companies a strong plus

JD From an accredited law school

Member in good standing of the Colorado Bar or the bar of any other state

Work Authorization & Employment Eligibility

Must be legally authorized to work within the United States

Successful completion of background check

Work Environment

This job operates in a corporate office environment

Expectations are that this role will be primarily in the office (i.e., not remote)

The firm offers a work remote month (July 15 – August 15) each summer

Physical Demands

This position requires prolonged sitting, computer use, fine motor skills, lifting, carrying, reaching, standing, hearing, speaking, visual strain, and mobility to successfully perform the essential job functions in a demanding and dynamic environment.

Position Type / Expected Hours of Work

This full-time salary (overtime exempt) position requires at least 40 hours of work per week. Business operations are Monday through Friday.

Travel

Overnight travel requirements are less than 5% unless on a particular assignment. Travel and mileage reimbursements may apply, subject to Company policy.

Compensation

Bow River Capital offers discretionary vacation and competitive health, insurance and retirement benefits. The salary range for this role is $140,000 - $200,000 plus an annual discretionary performance bonus. Years of experience and years in a similar role, among other factors, will be used to determine the actual salary.
