Essential Functions And Responsibilities
BCO Contracts
- Draft and maintain contract templates for standard and specialty services
- Review, negotiate, and approve all contracts, including those with clients, sales professionals, and service providers
- Oversee contract lifecycle, including drafting, negotiation, execution, and renewals
- Advise management on evolving legislation, regulations, and case law affecting BCO
- Identify and implement strategies to limit liability exposure in operations and business opportunities
- Coordinate with insurance agents on policy renewals, claims, and audits (excluding employee benefits)
- Manage and coordinate outside counsel in litigation matters
- Advise on litigation strategy and provide support for depositions and hearings
- Coordinate responses to governmental and private complaints, hearings, and investigations
- Oversee third-party audits (e.g., regulatory, contractual)
- Ensure compliance with regulations in all states where BCO operates and for all regulated industries BCO participates in
- Oversee maintenance of real estate licenses and continuing education
- Manage entity registrations, create new entities, and update organizational documents
- Draft company resolutions and ensure compliance with entity requirements
- Select and engage outside counsel, reviewing and approving invoices for legal services
- Advise HR and management on employment law and employee/contractor relations
- Lead due diligence and manage transaction documents for acquisitions
- Oversee integration of contracts and post-acquisition compliance
- Conduct regular risk management and best practices training
- Supervise legal team administrative support
- Perform other duties as assigned
- Proven experience as a legal counsel in business environment
- Experience in Commercial Real Estate, Brokerage, Property Management and M&A strongly preferred
- Human Resources experience preferred
- Excellent knowledge and understanding of corporate law and procedures
- Full comprehension of the influences of the external environment of a corporation
- Demonstrated ability to create legal defensive or proactive strategies
- Sound judgement and ability to analyze situations and information
- Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization
- BS degree in Law or J.D. degree and member of state BAR required
- MA or BSc in Business Administration will be considered an advantage
