Our purpose is to build partnerships, improve communities and change lives.Overview The General Counsel will provide legal, business, and strategic counsel to the BCO management team; lead BCO’s risk management efforts; oversee contract lifecycle for all BCO agreements; oversee BCO legal matters, including litigation; balance the protection of BCO’s assets with the presentation of solutions to accomplish business objectives.Location : Indianapolis, IN preferred, but could also be in South Bend, IN.Type : HybridEssential Functions and Responsibilities BCO contracts Draft and maintain library of contract templates for standard BCO lines of serviceDraft contracts for specialty services or unique engagementsReview proposed changes to standard contract templates and approve all contracts before executive executionWhen a client-drafted agreement is necessary, review and negotiate contractDraft, negotiate, review, and maintain all contracts between BCO and its sales professionalsReview and negotiate contracts with parties providing services to BCOOversee a system of organization and tracking for the lifecycle of all contracts to which BCO is a party (from drafting to negotiation to execution to implementation); coordinate contract renewals with sales professionals and management personnel on contract renewalsKeep management team abreast of evolving legislation, regulations, case law, and administrative rulings with potential impact on BCO and its industryProactively seek solutions, both in daily operations and potential business opportunities, for BCO to limit its liability exposureCoordinate with BCO’s insurance agent and carriers including annual renewals, claims submission, ongoing claims review and dismissal, and annual audits (not including employee benefits insurance)Litigation Coordinate and monitor efforts of outside counsel in all litigation to which BCO is a partyProvide advice to executive team regarding litigation strategy, both for pending and potential mattersCoordinate and advise on BCO employee prep for required depositions and / or hearingsAdministrative proceedings Coordinate response to governmental complaints / hearings / investigations at the administrative level (e.g., EEOC, real estate commissions, etc.), in collaboration with outside counsel when engagedCoordinate response to private complaints / hearings to which BCO is subject (e.g., industry accrediting bodies), in collaboration with outside counsel when engagedCoordinate response to any third-party audits of a non-financial nature (e.g., administrative agency audit, contractual audit, etc.)Regulated industries Ensure BCO and each of its licensed real estate professionals are acting in compliance with statues and administrative regulations in each state where services are providedOversee administrative team’s management of real estate license maintenance and continuing education trackingEnsure BCO is acting in compliance with statues and administrative regulations governing any other regulated industry in which the company may elect to participateGovernance Maintain entity registrations for BCO and its affiliated entitiesOrganize / incorporate new affiliated entities as neededDraft, maintain, and update organizational documents (e.g., operating agreements, bylaws, etc.) for BCO and its affiliated entitiesDraft company resolutions as neededMonitor compliance with entity document requirements and business organization lawsOutside counsel In consultation with executive team, coordinate selection and engagement of outside counsel where necessaryReview and approve all invoices for services provided to BCO by outside counselPersonnel Upon request, provide employment law advice to human resources teamAdvise management team on opportunities for improvement or potential areas of caution in relationship with BCO employees and independent contractorsAcquisitions Participate in due diligence process, and lead certain elements, for potential acquisition targetsDraft transaction documents for small deals; on larger deals, coordinate drafting and negotiation of transaction documents with outside counselCoordinate integration of contracts and other assignable rights and responsibilities of any acquired entityMaintain reporting and compliance with all post-acquisition requirements (e.g. : earn outs, records and / or reporting due, etc.)Additional Responsibilities Perform regular training to BCO employees related to risk management and best practices (ie. Snow Event Tracking, Transaction Agreements, responsible parties, etc.)Coordinate with, and oversee work of, any administrative members of the legal teamOther duties as assignedQualifications and Requirements Proven experience as a legal counsel in business environmentExperience in Commercial Real Estate, Brokerage, Property Management and M&A strongly preferredExcellent knowledge and understanding of corporate law and proceduresFull comprehension of the influences of the external environment of a corporationDemonstrated ability to create legal defensive or proactive strategiesSound judgement and ability to analyze situations and informationStrong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organizationBS degree in Law or J.D. degree and member of state BAR requiredMA or BSc in Business Administration will be considered an advantageTo perform this job successfully, an individual must be able to perform each essential duty satisfactorily.
