We are searching for a highly skilled General Counsel to oversee compliance with SEC regulations, prepare and review disclosure documents, and provide legal advice on securities law matters. This position requires a deep understanding of financial markets and the ability to navigate complex regulatory environments.Responsibilities : SEC Reporting & Compliance : Prepare and review SEC filings ensuring timely and accurate submissions.Disclosure Management : Oversee the preparation and release of public information, including press releases and investor communications.Regulatory Compliance : Ensure compliance with all applicable securities laws and regulations.Corporate Governance : Advise on corporate governance matters, including board meetings, shareholder communications, and compliance with stock exchange rules.Legal Counsel : Provide legal advice on securities transactions, mergers and acquisitions, and other corporate matters.Risk Management : Identify and mitigate legal risks associated with securities transactions and corporate activities.Due Diligence : Conduct due diligence for securities offerings and other corporate transactions.Regulatory Liaison : Communicate with regulatory bodies, such as the SEC and FINRA, on compliance and regulatory matters.Qualifications : Juris Doctor (JD) degree from an accredited law school.Active bar membership in good standing.Minimum of eight years of experience in securities law, with a focus on SEC reporting and compliance.In-depth knowledge of SEC and FINRA regulations and the financial markets.Strong analytical, communication, and negotiation skills.Ability to work independently and as part of a team.Experience with corporate governance and regulatory compliance.Experience working with publicly traded companies with a strong focus on financial institutions.Experience with cybersecurity regulations and best practices is preferred.Certified Information Privacy Professional (CIPP) is preferred.Compensation : $180,000 per year#J-18808-Ljbffr
