What are the responsibilities and job description for the Sr. Paralegal position at Calamos Recruiting?
The Senior Paralegal is responsible for all Investment Company Act paralegal duties. Operating in a fast-paced, innovative and commercially minded Legal Department, this position provides paralegal support to all investment management-related areas of the firm. The Senior Paralegal also assists the department with various other projects as needed (e.g., corporate, investment adviser, private fund, global fund, real estate, etc.). The successful candidate will be a self-starter who can prioritize and work on multiple projects concurrently.
Primary Responsibilities:

Drafts and files SEC regulatory filings, including registration statements on Forms N-1A and N-2, and provides legal input on Form N-CSR, Form N-PORT, etc.

Coordinates Board of Trustees meetings, including drafting meeting agendas, materials, resolutions, and minutes, and liaises with members of the Board regarding meetings and follow-up matters.

Coordinates closed-end fund shareholder meetings, including working with the proxy solicitation firm and transfer agent and coordinating other meeting-related requirements.

Maintains the minute books and records for all of the firm’s Investment Company Act-registered pooled investment vehicles.

Serves as a liaison between the Legal Department and other departments and outside service providers and legal counsel.

Assists in the review of ISDA agreements and other derivatives-related agreements.

Reviews and completes RFPs and DDQs.

Assists members of the Legal Department with various agreements related to the firm’s Investment Company Act-registered pooled investment vehicles, including distribution-related agreements.

Assists in-house counsel as needed with special projects, including fund launches, regulatory and internal audits, closing binders, due diligence materials, insurance, etc.

Handles administrative support functions related to the paralegal function, including but not limited to, editing/revising documents, filings, scheduling meetings, etc.

Handles confidential and sensitive information including contracts, offerings, litigation, etc. with the utmost discretion.

Conducts legal research on a variety of topics.

Performs related duties as assigned.
Preferred Qualifications:
- Bachelor’s degree required.
- Paralegal certificate required from an accredited ABA approved curriculum.
- At least 8 years of corporate paralegal experience, including in a financial services organization.
- Must have excellent research and drafting skills.
- Must have exceptional attention to detail and tremendous organizational skills.
- Must have superb oral and written communication skills.
- Computer skills in Microsoft Word, Excel, PowerPoint, and Outlook are table stakes for this role.
- Familiarity with Diligent board book software is a plus.
- Candidates must be willing to report out of Calamos' Naperville, Chicago, or New York office locations for this position.
For Illinois and New York Applicants only: The expected annual base salary range for this position is $100,000 - $130,000. The selected candidate salary is based on numerous factors such as, but not limited to work experience, relevant education, qualifications, certifications, skill level, and geographic location. This is the current estimate of the base salary range intended for this role at the time of this posting. The base salary range may be modified in the future.
