Hybrid : 3 days a week in office

Job Overview :
Calculated Hire is partnered with a leading retailer based in Atlanta to find a skilled Corporate Specialist / Paralegal for a short-term contract role. This individual will play a critical role in providing legal support across corporate governance, litigation, and regulatory compliance functions. The position involves subsidiary management, SEC filings, commercial litigation support, and corporate structuring . The ideal candidate will work closely with legal leadership, external counsel, and internal teams to ensure compliance and mitigate legal risk.
Key Responsibilities :
- Assist with subsidiary management , corporate structuring, and financing transactions.
- Draft corporate resolutions, consents, and secretary’s / incumbency certificates.
- Support SEC filing processes , including compliance reviews of certain filings.
- Conduct research on corporate law matters.
- Handle commercial lawsuits filed by customers, managing case progress and documentation.
- Collaborate with local counsel law firms on litigation matters.
- Engage in significant customer and opposing counsel communications regarding litigation.
