Corporate Trust Associate
Exceptional opportunity to join a prominent and long-established law firm seeking a talented associate with at least one year of corporate trust and/or securities experience to join our New York office. Their corporate trust group represents leading corporate and municipal trustees across the U.S. banking industry, providing expertise in both domestic and international financings.
Responsibilities
The ideal candidate will assist in drafting, reviewing, and negotiating a range of corporate documents, including offering documents, indentures, credit agreements, trust agreements, collateral agency agreements, depositary agreements, security agreements, mortgages, control agreements, servicing agreements, and other related documents. The role offers exposure to a variety of corporate trust matters, including:
- Trust Indenture Act qualified transactions
- Rule 144A and Reg S offerings
- Debt restructurings
- Corporate and municipal bond financings
- Asset-backed and mortgage-backed securitizations
- Insurance-linked products
- Cross-border transactions
- Project finance transactions
- Secured high-yield debt transactions
- Third-party agency appointments
The associate will work closely with partners and have immediate interaction with clients and opposing counsel. They will be responsible for assisting partners in the closing process and handling various matters within the corporate trust practice. Requirements
- A minimum of one year of corporate trust and/or securities experience.
- J.D. from an accredited law school and membership in good standing with the New York State Bar.
- Strong academic credentials, interpersonal skills, and professional demeanor.
- Excellent organizational skills with the ability to manage multiple tasks effectively.
- A team-oriented mindset, with a willingness to collaborate and assist other members of the group.
- Strong attention to detail, ability to prioritize, and initiative to take on responsibilities.
Salary : $150,000 - $400,000
