Overview :
An amazing opportunity exists for a detail-oriented, confident and experienced attorney to join the legal team supporting the Corporate Banking business in Capital One’s Commercial Bank as Senior Counsel. Corporate Banking is Capital One’s commercial lending business which encompasses a broad range of transaction structures, sizes and industries with commercial borrowers located across the nation. You’ll be a key player in supporting this successful and growing platform by providing real-time legal advice on lending transactions and longer-term strategic initiatives. You’ll work closely with internal business partners, senior management and with internal and external legal counsel to provide innovative and commercial solutions to optimize our commercial lending business. And you’ll do it all in a collaborative, supportive environment that values your insight, promotes continuous learning, and rewards creative thinking.
Representative Responsibilities include :
- Work side-by-side with business partners to structure and negotiate middle-market corporate lending transactions.
- Review and negotiate loan and collateral documentation and guide business partners on market terms.
- Identify and assess legal risk and provide legal advice and assistance in resolving or escalating matters related to commercial lending transactions.
- Keep current with legislation, regulations, case law and market trends that affect the commercial bank’s lending activities and provide advice, guidance and training to the lines of business.
- Manage all legal issues in connection with a portfolio of loans and collaborate with stakeholders across underwriting, risk and legal to find solutions.
- Manage outside counsel.
- Work with Capital One’s enterprise regulatory, litigation, risk and compliance teams on regulatory, reputational and compliance issues.
- Develop and maintain form loan documents.

This role is hybrid meaning associates spend 3 days per week in-person at one of our offices listed on this job posting. Fridays are enterprise-wide virtual work days. Monday, Tuesday, Wednesday and Thursday are options for in-person days for associates to spend time together working in our beautifully-designed team areas.
The minimum and maximum full-time annual salaries for this role are listed below, by location :
McLean, VA : $193,000 - $220,300 for Sr. Manager, Sr. Counsel
New York, NY : $210,500 - $240,300 for Sr. Manager, Sr. Counsel
Richmond, VA : $175,500 - $200,300 for Sr. Manager, Sr. Counsel
Candidates hired to work in other locations will be subject to the pay range associated with that location, and the actual annualized salary amount offered to any candidate at the time of hire will be reflected solely in the candidate’s offer letter.
This role is also eligible to earn performance-based incentive compensation, which may include cash bonus(es) and / or long-term incentives (LTI). Incentives could be discretionary or non-discretionary depending on the plan.
