We are seeking a dynamic and experienced legal professional to join our in-house legal division as the Vice President of Legal Compliance & Regulatory Affairs.
About the Role
The Vice President of Legal Compliance & Regulatory Affairs is a senior legal position within our company, primarily responsible for overseeing all legal aspects of business transactions, including mergers and acquisitions, joint ventures, contract negotiations, and other significant agreements. This role involves acting as a key advisor to the executive team, managing a team of lawyers, and ensuring compliance with relevant laws and regulations.
This person will provide legal advice and counsel to the Board of Directors, Officers, employees of the organization, and external counsel, either directly or through the supervision of in-house counsel. Advise the President-CEO and senior management on all legal matters affecting the organization’s operations and governance, including legal review and advice on risks and implications of new projects, and with business arrangements to support strategic and operational decision-making.
Key Responsibilities
- Oversee business transactions, regulatory compliance, and contract negotiations.
- Responsible for compliance oversight and external counsel collaboration.
- Lead and manage all legal aspects of business transactions, including mergers and acquisitions, joint ventures, and other significant agreements.
- Act as a key advisor to the executive team, providing legal counsel on potential transactions, including risk assessment and mitigation strategies.
- Lead the negotiation of key contractual terms and conditions in mergers, acquisitions, partnerships, and other significant agreements.
- Collaborate with cross-functional teams to ensure the company's interests are protected in all transactions.
- Ensure all business transactions comply with relevant laws, regulations, and company policies. Develop and implement compliance policies and procedures to mitigate legal risks.
- Manage relationships with external counsel, ensuring efficient and effective use of external legal resources.
- Extensive experience in real estate transactions and corporate law, including mergers and acquisitions, joint ventures, and contract drafting. Real estate background preferred.
- Proven track record of managing complex business transactions and providing strategic legal counsel to senior management.
- Deep understanding of relevant legal frameworks and regulations affecting the real estate industry.
- Strong analytical and problem-solving skills to identify potential legal risks and develop effective solutions.
- Excellent negotiation and communication skills to effectively manage complex transactions and interact with stakeholders at all levels.
- Ability to lead negotiations, draft clear and concise contracts, and articulate legal concepts to non-legal stakeholders.
- Demonstrated leadership abilities to manage a team of legal professionals and coordinate with cross-functional teams.
